Welcome to Combinu. By accessing or using our platform and services, you agree to be bound by these Terms & Conditions. Please read them carefully before using the platform.

1. Definitions

• Platform: The Combinu website, dashboard, and related digital services.
• User: Any individual or entity that creates an account or uses the services.
• Customer: Contacts and end-users whose data is managed by the User via CRM and related tools.
• Services: Booking tools, CRM, messaging, automation, AI features, WhatsApp/SMS campaigns, forms, hosting, and other related features.

2. Account Creation and Use

• Users must provide accurate and up-to-date information when creating an account.
• Users are responsible for maintaining the confidentiality of their login credentials.
• Any activity performed through the account is deemed to be authorized by the account owner.
• Combinu reserves the right to suspend or terminate accounts in cases of suspected abuse or policy violations.

3. Subscriptions and Payments

• Combinu’s services are provided on a subscription basis (monthly, yearly, or as otherwise specified).
• Payments are processed through Stripe or other approved payment processors.
• Subscriptions renew automatically unless the User disables auto-renewal before the renewal date.
• Fees are generally non-refundable unless otherwise agreed in writing or specified in a promotional offer.
• Messaging fees (WhatsApp/SMS/Email) are subject to carrier, API provider, and Meta pricing.

4. Fair Use Policy

To protect the quality of service, Combinu applies a reasonable Fair Use Policy, including but not limited to:

• The Smart Social Studio feature includes up to 200 AI-generated social posts per month for normal usage.
• Excessive or abusive usage may result in temporary throttling or suspension of certain features until the next billing cycle.

5. Prohibited Use

Users may not use the platform for:

• Sending unsolicited or bulk spam messages without proper consent.
• Collecting or processing personal data without appropriate legal basis or consent.
• Fraudulent, misleading, or illegal activities.
• Violating Meta, WhatsApp, or telecom provider terms and policies.
• Distributing malware, viruses, or harmful content.
• Attempting to compromise, overload, or disrupt the platform’s infrastructure.

6. Artificial Intelligence and Output Content

• Combinu provides AI-powered tools to assist with messaging, content, and workflow automation.
• Users are responsible for reviewing AI-generated content before using it in campaigns or decision-making.
• AI outputs may occasionally be inaccurate, incomplete, or inappropriate.
• Combinu is not liable for any business, financial, or reputational loss resulting from reliance on AI-generated outputs.

7. Limitation of Liability

• Combinu does not guarantee any specific business, marketing, or financial results from using the Services.
• Combinu is not liable for data loss, financial loss, or business interruption caused by third-party providers, network issues, or user error.
• Combinu is not responsible for account blocks, delivery issues, or penalties imposed by Meta, WhatsApp, telecom carriers, or other providers.
• In all cases, the maximum aggregate liability of Combinu toward a User is limited to the value of one monthly subscription fee.

8. Account Suspension or Termination

• Combinu may suspend or terminate a User account for violation of these Terms, abuse, fraud, or non-payment.
• If a subscription remains unpaid or inactive for more than 60 days, Combinu may permanently delete the account and associated data without further obligation.

9. Governing Law

These Terms & Conditions are governed exclusively by the laws of the State of Wyoming, USA. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Wyoming.

11. SMS & WhatsApp Campaign Disclaimer

11.1 SMS Campaign Disclaimer

• Users are solely responsible for the content of all SMS messages sent via Combinu.
• Users confirm that they have obtained valid Opt-in consent from all recipients before sending any SMS campaigns.
• Users must comply with all applicable telecommunications and anti-spam laws in the countries where messages are sent.
• Combinu is not liable for carrier-related penalties, blocks, or fines resulting from misuse or unlawful messaging.
• Combinu does not guarantee SMS delivery, delivery time, or campaign performance, as these depend on third-party carriers and gateways.
• Combinu reserves the right to suspend or disable SMS capabilities in cases of abuse or violation of legal requirements.

11.2 WhatsApp Campaign Disclaimer

• Users are fully responsible for all WhatsApp messages, templates, and media sent through Combinu.
• Users confirm that they have obtained explicit Opt-in consent from all recipients before sending any messages via the WhatsApp Business API.
• Users must comply with Meta and WhatsApp official policies, including template usage, anti-spam rules, and the 24-hour Customer Care Window.
• Combinu is not liable for number blocks, account suspensions, template rejections, or any penalties imposed by Meta or API providers.
• Combinu does not guarantee message delivery, read rates, or user engagement, as these factors depend on Meta, carriers, and end-user behavior.
• Combinu reserves the right to suspend or disable WhatsApp messaging for any account that misuses the service or violates applicable policies.
